Acceptance of Terms
Please read these Terms carefully before using the platform. If you do not agree, you must stop using the platform immediately.

Welcome to My Chitti ! By signing up for a My Chitti Account  or by using any My Chitti Services (as defined below), you are agreeing to be bound by the following terms and conditions (the “Terms of Service”).
This document is an electronic record in terms of the amended Information Technology Act, 2000 and rules and regulation made thereunder. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 that require publishing the Terms for access or usage of My Chitti service via My Chitti Portals. This document meets the stipulations and conditions mentioned in Section 65B (2) of the Indian Evidence Act, 1872.

As used in these Terms of Service, “we”, “us”, “our”, “MC”, “ Chitti ” and “My Chitti” means the applicable My Chitti Technologies PVT LTD Contracting Party , and “you”, "Vendor", "Service Provider", "You" or "Your" means the My Chitti Technologies PVT LTD User ( if registering for or using a My Chitti Service as an individual), or the business employing the My Chitti User (if registering for or using a My Chitti Service as a business) and any of its affiliates.(hereinafter referred to as the “Platform”).My Chitti offers you its services only on the Terms and any amendments made under this Terms of Service. INTRODUCTION
 My Chitti provides a comprehensive e-commerce and professional platform that enables merchants to unify and manage their e-commerce activities and professional services. The platform offers a wide range of tools to help merchants and professionals build and customise online stores, sell across multiple channels (including web, mobile, social media, online marketplaces, and other digital platforms, referred to as “Online Services”), as well as in-person through point-of-sale (“POS Services”). Merchants can use the platform to manage products, inventory, payments, fulfilment, shipping, marketing, advertising, service leads, and engage with both existing and potential customers.
The services offered by My Chitti Technologies PVT LTD are collectively referred to as the “Service(s).” Any new features or tools added to the platform in the future will also be governed by these Terms of Service. You may review the current version of the Terms of Service at any time on the My Chitti website.
My Chitti operates as a local search engine, offering directory services for users searching for vendors (hereinafter “Vendors”) of various products and services in selected towns and cities across India. The platform connects users seeking information with the Vendors listed on My Chitti, offering directory services through multiple channels such as the internet, mobile, and telephone (voice, text, and SMS). However, My Chitti acts as a medium to facilitate connections between users and Vendors but does not guarantee business outcomes or transactions for the Vendors listed.
Vendors are responsible for providing accurate and up-to-date information for their listings, and My Chitti aims to provide a quick and user-friendly platform for users (hereinafter “Callers/Users”) to access this information.
These Terms of Service, along with any supplementary agreements (such as the EU Terms for merchants and professionals, the My Chitti API License and Terms of Use, and the My Chitti Data Processing Addendum), collectively form the entire understanding between My Chitti and Vendors. By signing up for a My Chitti account or using any My Chitti service, you must agree to these Terms. Vendors offering COVID-19-related goods or services are also required to comply with the Rules of Engagement for Sale of COVID-19 Related Products.

NO GUARANTEE OF BUSINESS
My Chitti does not guarantee that inquiries or leads will be generated for sellers and service providers listed on the platform, nor does it guarantee that any inquiries or leads will result in business transactions. The platform serves as a facilitator by connecting users with potential Vendors, but My Chitti makes no promises regarding the volume or success of business generated through the platform.


Subscription
Vendors may include business houses, service providers, small and medium enterprises, corporate entities, semi-corporate entities, establishments, or individuals who subscribe to the services provided by My Chitti to list their company or business. My Chitti will solely provide information about the Vendor to Users in accordance with these Terms. The Vendor agrees and acknowledges that My Chitti does not guarantee any business or revenue and serves only as a medium to disseminate information to the general public.

Interpretation
(a) Contract: Refers to these Terms of Service, together with all Schedules and Annexures (if any).
(b) Party References: Any reference to a "party" includes that party’s successors, permitted assigns, and any individuals or entities deriving title under it.
(c) Headings: Descriptive headings of clauses are inserted for convenience and do not reflect the complete or accurate content of those clauses.
(d) Singular/Plural and Gender Usage: Words in singular or plural form, or gender-specific terms, are not restrictive and shall not limit the scope or application of any provision, unless otherwise indicated by context.
(e) Grammatical Forms: Any grammatical variation of a defined term has the same meaning as the original. The terms "including" and "includes" mean "including, without limitation" and "includes, without limitation" respectively.

General Terms
(i) Terms of Service: These Terms, together with any Invoices, Annexures, etc., shall collectively be referred to as the "Contract/Terms of Service". These Terms supersede any prior agreements (written or oral) between the Vendor and My Chitti regarding the subject matter. The Terms of Service shall remain valid and effective for a period of one (1) month or more from the Effective Date, unless otherwise agreed upon by both parties and subject to timely payment receipt. The Service will automatically renew unless:
(a) The Vendor notifies My Chitti in writing (by email or registered post) at least three (3) months prior to the expiration of the one-year term, expressing their intent not to renew; or
(b) The Service is terminated by either party before renewal, as provided in these Terms.
In the absence of written communication from the Vendor regarding non-renewal at the end of the one-year term, the Service will automatically renew under the existing terms. By agreeing to the Contract, the Vendor consents unconditionally to all addendums and amendments without requiring specific notice or signature. My Chitti reserves the right to modify the Terms of Service at its discretion, without providing specific notice to the Vendors. It is the sole responsibility of the Vendor to regularly check the My Chitti website for updates or changes to the Terms. Any modifications will take effect from the Effective Date and be binding on the Vendor.
(ii) Service Renewal: Renewal of the Service is subject to My Chitti's discretion. The fee mentioned in the Invoice, along with any associated documents, constitutes the total fee for the Service and will not be reviewed except at My Chitti's discretion. By making the payment as outlined in the Invoice, the Vendor accepts the Terms of Service.
(iii) Contact Consent: Whether or not the Vendor has registered their entity or firm’s contact numbers with the "Do Not Call" registry of the Telecom Regulatory Authority of India (TRAI) or any other statutory body, by accepting these Terms of Service, the Vendor grants consent for My Chitti to share their contact details with Users for business and promotional purposes. The Vendor also consents to My Chitti contacting them for promotional activities. The Vendor agrees to comply with all current and future TRAI regulations or other applicable regulations and ensures that neither the Users nor My Chitti encounter any difficulty in contacting the Vendor. If Users are unable to contact the Vendor, it shall not be deemed a deficiency in the Services provided by My Chitti.
Information Dissemination
My Chitti currently disseminates information to Users through multiple platforms, including telephone, internet, WAP (Wireless Access Protocol), SMS (short code), and WhatsApp. My Chitti reserves the right to modify or discontinue the dissemination of information over any platform at its discretion or to introduce new platforms as it sees fit.

VENDOR (SERVICE PROVIDER) PACKAGE LISTINGS
1. Package Listings
Under the package listing, the consideration paid by the vendor will be allocated by My Chitti across categories and pin codes/locations selected by the vendor for their listing/contract. The services under this package listing will operate on a rotational basis for area-specific or all-area searches. Vendors will be given preference in terms of visibility, proportional to the consideration amount paid for that specific category.
2. Cost Per Enquiry
The vendor must identify the business category in which they wish to be listed (the "Category") and agree to pay per enquiry based on the total number of enquiries.
An enquiry is generated when:
For Telephone & SMS: My Chitti provides information about the vendor’s business to a user/caller in response to a request for information.
For Online Listings: My Chitti makes vendor information, including product/services details, available to users searching for relevant business listings.
Currently, the mediums for enquiries include Telephone, SMS, and Online.
The cost per enquiry is determined by dividing the total number of enquiries by the total amount paid by the vendor.
For each enquiry generated through My Chitti, an amount equivalent to the cost per enquiry will be deducted from the total payment made by the vendor.
Once the vendor's threshold is reached on any given day, no more enquiries will be shared under the contract. However, the vendor may opt to renew the services at prevailing rates.
3. Pay Per Enquiry Plan
Under this plan, vendors can access the details of enquiries and the applicable charges via their profile page. The charges will be deducted from the vendor’s account, as maintained with My Chitti.
Vendors using this plan are required to maintain an interest-free, non-refundable deposit as indicated in the invoice, which will be adjusted over time.
My Chitti is entitled to deduct charges/fees per enquiry, applicable taxes, and other relevant charges from the vendor’s account or deposit.
The deposit amount, fees, and other charges are subject to change at the discretion of My Chitti, and the cost per enquiry may be revised periodically.
The amount deposited by the vendor is non-refundable and non-transferable.
Enquiries shared by My Chitti do not guarantee business for the vendor.
4. Details of Services
I) Bundle Services:
Display: Vendor listings will be visible on My Chitti’s portal, including the vendor's name, contact details, address, and other information provided by the vendor.
Calls: Direct calls made by users to the vendors.
Direct Enquiries: Users can directly inquire about the vendor’s products or services by clicking the "Request Now" option on My Chitti platforms.
II) Optional Services:
Grab Leads/Enquiries: These are additional enquiries that vendors can opt to receive at an extra cost.
5. Performance Services
Vendors can avail themselves of Bundle Services (as defined above) based on the payment made to My Chitti. The visibility of the vendor's listing on My Chitti is determined by the payment plan chosen.
Vendors can manage and control their daily expenses related to Bundle Services such as Display, Calls, and Direct Enquiries using the dashboard provided.
Vendors can adjust the daily amount spent (subject to a minimum threshold) through the dashboard's control mechanism.
6. Optional Services
Vendors can access Optional Services (as defined in point II) by making an advance payment.
My Chitti provides these services on an "AS IS" basis, without any express or implied warranties of any kind.
There are no restrictions on the number of calls made by users to vendors, and users may contact vendors directly at their discretion.
7. Minimum Threshold Requirement
Vendors must maintain a minimum threshold balance. If this balance is not maintained, My Chitti reserves the right to deduct the maximum amount as per the ECS Mandate form, CCSI, NACH form, or any other payment method executed by the vendor to avail of monthly instalment payment facilities.
8. Listing/Service Fees and Other Charges
The vendor agrees to pay a non-refundable Listing/Service Fee, as well as other applicable charges/fees for any additional features or upgraded services they avail from time to time. The charges will be determined solely by My Chitti.
Upon receiving payment, My Chitti will send an e-invoice to the vendor’s registered mobile number and email ID.
My Chitti reserves the right to recover applicable fees, costs, expenses, and taxes from time to time.
Vendors have the option to pay the fees either through upfront payment or through instalment payment plans. If opting for instalment payments, the vendor must make an initial payment (including applicable taxes) upon registration. The balance can be paid through payment modes such as ECS, CCSI, or NACH.
Services will only be activated once the first ECS/CCSI/NACH payment is credited to My Chitti’s account.
My Chitti is not liable to refund any amount in case of service deactivation or non-activation due to non-payment.
KYC Documents: Vendors must provide the following KYC documents before the first ECS/CCSI/NACH clearance:
Passport
Driving Licence
Voter’s ID (issued by the Election Commission of India)
Aadhar Card
NREGA Job Card (signed by a State Government officer)
Letter issued by the National Population Register (with name and address details)
PAN Card
Additionally, vendors must provide business-related documents, including the Certificate of Incorporation, PAN Card of the company, Registration Certificate, GST Certificate, and any other relevant government-issued certificates.
PAYMENT MODES
Accepted Payment Methods:
My Chitti allows vendors to make payments for services, including the Service/Listing Fee (excluding the Subscription Fee), using any of the following modes:
(a) Cheque
(b) Demand Draft
(c) RTGS (Real-Time Gross Settlement)
(d) ECS (Electronic Clearing Service)
(e) CCSI (Credit Card Standing Instruction)
(f) NACH (National Automated Clearing House)
My Chitti does not encourage or prefer payments made in cash. Any cash payments made by the vendor are done at their own risk, and My Chitti will not be liable for any issues arising from such transactions. Vendors should avoid sharing sensitive personal or banking information with any My Chitti employees in accordance with the Information Technology Act, 2000, or other relevant laws.
Payment Frequency:
Vendors may make payments weekly, fortnightly, monthly, quarterly, or half-yearly, as directed by My Chitti.
My Chitti will make every effort to activate the services within 14 (fourteen) working days from the date of receipt of the service fee and the necessary documents, subject to potential delays due to technical malfunctions. However, My Chitti shall not be held liable for any delays in service activation.
CONSEQUENCES OF NON-PAYMENT OF SERVICE FEE / ECS AMOUNT
Dishonour of Payments:
If a vendor fails to make payments as required, they will be subject to the provisions of Section 138 of the Negotiable Instruments Act, 1881, as well as other legal proceedings for recovery. The vendor will also be liable to pay interest at 18% per annum for the duration of non-payment.
My Chitti reserves the right to recover any outstanding dues for services or packages availed by the vendor.
Suspension of Services for Non-Payment:
In the event of non-payment of fees (including the Service Fee or ECS amount), My Chitti may suspend the vendor’s listing or access to services until the necessary payments are made.
The vendor acknowledges that during the suspension, they forfeit their rights to the service and listing, and their position or listing may be made available to other vendors without notice.
My Chitti reserves the right to terminate services for any material breach committed by the vendor, and may reallocate the vendor’s listing to others in the event of non-payment.
LUMP SUM PAYMENT MODE
Vendors opting to pay a lump sum amount will have the tenure of the service corresponding to the amount paid.
INVOICING AND ANNEXURES
Once services are activated upon receipt of payment, My Chitti will send an invoice to the vendor's registered email ID and/or mobile number via email, SMS, or other electronic methods. The invoice will include relevant details as required.
The invoice is considered valid only upon the timely realisation of the payment.
PRIORITY OF INFORMATION ABOUT VENDORS
My Chitti prioritises providing users with relevant information. Based on the user’s preferences, such as location and category, My Chitti will provide vendor information as available.
Among vendors who meet the user's criteria, priority will be determined by the listing plan and the total fee paid by the vendor. However, nothing in this clause restricts My Chitti from providing information about other vendors, including those with higher priority, at My Chitti’s discretion.
Vendors acknowledge that My Chitti only conveys information to users upon request and does not guarantee that such requests will generate business for the vendor.
NO GUARANTEE OF BUSINESS
My Chitti does not guarantee that any enquiries or leads will be generated for the vendor or that any of the enquiries/leads will convert into business.
NO MARKETING OBLIGATION
My Chitti is not obligated to market the vendor’s offerings and is not responsible for recommending the vendor to users. My Chitti’s obligation is limited to those explicitly mentioned in these terms, and it does not guarantee or undertake the generation of enquiries or business for the vendor.
INDEMNIFICATION
The vendor agrees to defend, indemnify, and hold harmless My Chitti, its officers, employees, agents, and representatives from any claims, liabilities, losses, damages, costs, or expenses (including reasonable attorney fees) arising out of or in connection with:
(a) Breach of any provision or non-performance of any obligation under these terms.
(b) Infringement of third-party rights (including intellectual property rights).
(c) False or incorrect representations or warranties made by the vendor.
(d) Gross negligence, willful default, or misconduct by the vendor or its officers, directors, employees, or agents.
(e) Third-party claims arising out of the vendor’s ads or services.
CONFIDENTIALITY AND RELATED OBLIGATIONS
The vendor agrees to keep any information regarding the users of the service (“User Information”) confidential both during and after the term of this agreement.
The vendor shall not, without My Chitti’s prior written consent, transfer User Information to any third party for any reason. The vendor is also prohibited from using the User Information for personal commercial gain.
If My Chitti becomes aware of any such misuse of User Information, it may terminate the vendor’s services and initiate legal proceedings without prejudice to other rights available under the law.
VENDORS' OBLIGATIONS TOWARDS END USERS:
a) The Vendor shall be solely responsible for any delivery, after-sales service, payment, invoicing or collection, sales enquiries, support maintenance services, and/or any other obligations or services relating to or in respect of the products/services provided by Vendors to end users. Such services shall be the sole responsibility of the Vendor. b) If any dispute arises by the End Users regarding the products/services, the Vendor shall be obliged, forthwith, either to take back or withdraw defective goods, or to withdraw or discontinue deficient services. If the Vendor fails to rectify defective goods or deficient services, they must refund the consideration within the period stipulated in the bill or cash memo or receipt, or, in the absence of such stipulation, within a period of two days. c) In the event a Vendor is unable to resolve the grievances of any End User to the satisfaction of the End User, My Chitti reserves the right to suspend or terminate the services or take any other measures it may deem fit and proper. d) The Vendor acknowledges and accepts responsibility for the following actions:
(i) Falsely describing its product or service;
(ii) Providing false guarantees or misleading consumers regarding the nature, substance, quantity, or quality of products/services;
(iii) Concealing important information regarding products/services;
(iv) Misrepresenting the standard, quality, quantity, grade, composition, style, or model of goods/products;
(v) Falsely representing second-hand, rebuilt, reconditioned, or old goods as new;
(vi) Providing false or misleading warranties, guarantees, or other representations concerning the efficacy or usefulness of goods or services;
(vii) Failing to issue proper bills, cash memos, or receipts for goods/services;
(viii) Manufacturing or offering spurious goods for sale or engaging in deceptive practices in providing services;
(ix) Disclosing personal information of End Users without proper legal authorization.
e) The Vendor shall be solely responsible for the accuracy of all information, prices, and other charges related to their products/services.
VENDORS' OBLIGATIONS TOWARDS My Chitti Technologies Pvt. Ltd.:
a) The Vendor acknowledges that it is solely responsible for all materials/information submitted to My Chitti’s directory services. The Vendor agrees that its materials will not be false, misleading, defamatory, harassing, threatening, or violate any law or intellectual property rights of third parties. The Vendor is responsible for the actions of its contractors, representatives, or agents and ensures compliance with data protection and privacy laws. b) The Vendor acknowledges that My Chitti is a directory service provider and is not responsible for the fulfilment of products/services delivered. Fulfilment is solely the responsibility of the Vendor. c) The Vendor acknowledges that My Chitti is not responsible for disputes between Vendors and End Users. Any such disputes must be resolved by the Vendor. d) The Vendor acknowledges that My Chitti may require proof of fulfilment for products and services and that such proof must be retained for at least three years. e) The Vendor acknowledges that My Chitti is not responsible for any issues with the quality, merchantability, or delivery of products/services sold by Vendors listed in the directory. The Vendor indemnifies My Chitti against any claims arising from such issues. f) The Vendor acknowledges that My Chitti is not responsible for any defects, imperfections, or shortcomings in products/services provided by the Vendor. g) The Vendor acknowledges that they are prohibited from engaging in unfair practices such as charging unreasonable security deposits, imposing penalties, terminating contracts without cause, and charging unreasonable fees to End Users.
VENDORS' GENERAL OBLIGATIONS:
a) The Vendor represents and warrants the following:
(i) They are a bona fide business organisation with the right to use their trademarks.
(ii) They have procured all necessary registrations, authorizations, and approvals for their business.
(iii) The information they provide to My Chitti is accurate, valid, and complete.
(iv) They are solely responsible for the content and details they provide to My Chitti.
(v) The Vendor may not terminate the service before nine months from the activation date. No refunds will be issued for any ECS deductions during the contract term. b) The Vendor acknowledges and accepts that grievances related to services will only be entertained while the service remains in force. Vendors must also keep their contact and product/service information up to date in the directory. Failure to do so will result in the Vendor being bound by any default descriptions of their business. The Vendor must keep proper receipts, invoices, and transaction details and provide necessary documents such as valid identity and business registration proofs. c) The Vendor acknowledges that failing to provide necessary documents may result in delays, non-activation, or termination of services without any refund or compensation. d) The Vendor agrees that during the term of the contract and for five years after its termination, they will not solicit, divert, or usurp any of My Chitti’s enquiries, leads, or business relationships. They will also refrain from generating fraudulent leads, clicks, or reviews or using automated data extraction tools. e) The Vendor acknowledges that they are responsible for keeping their login credentials secure and that any loss resulting from sharing payment credentials or OTP details will be borne solely by the Vendor.
DISCLAIMER AND LIMITATION OF LIABILITY:
To the fullest extent permitted by law, My Chitti disclaims all warranties, express or implied, including but not limited to non-infringement, merchantability, satisfactory quality, and fitness for purpose. My Chitti does not guarantee the accuracy of Vendor listings, and errors in listing positions may occur. Neither My Chitti nor the Vendor shall be liable for any consequential, special, indirect, exemplary, or punitive damages (including without limitation loss of profits, revenue, interest, goodwill), whether in contract, tort (including negligence), or any other legal theory, even if advised of the possibility of such damages. My Chitti's total liability to the Vendor shall be limited to the amounts paid to My Chitti by the Vendor during the 12 (twelve) months preceding the date of the claim. Additionally, My Chitti is not liable for any claims arising from misrepresentation of information about the Vendor, provided that such information has been exhibited or communicated by My Chitti based on the information made available by the Vendor or its authorised representative.
ADDITIONAL DISCLAIMER:
a) The Vendor acknowledges that it is solely responsible and liable for all matters concerning its interactions with Users, including transactions between the Vendor and the User. My Chitti does not verify the identity of Service Users, and the information provided to Vendors is based on what is received from Users and will not be independently verified by My Chitti.
b) In the event of receiving complaints from Users regarding the Vendor or its products/services, My Chitti reserves the right to discontinue the provision of services to the Vendor or take any other action as deemed appropriate. Furthermore, My Chitti may forfeit any amount lying to the credit of the Vendor and terminate the services at its sole discretion.
c) My Chitti does not vouch for or guarantee the performance of services or the delivery of products by the Vendor. My Chitti is not liable for any non-payment of amounts due to the Vendor by any User.
DISPUTE RESOLUTION:
a) If a dispute is raised by the Vendor regarding defective or deficient services, My Chitti shall, as appropriate, either repair or remove the defects, replace the products, or maintain the services in question with new, defect-free products. My Chitti is not liable to issue refunds in cases where: (i) the Vendor acted with omission or negligence, (ii) the Vendor provided incomplete or inaccurate information, (iii) the Vendor failed to follow instructions from My Chitti, (iv) the Vendor misused, altered, or modified the product, or (v) the Vendor failed to notify My Chitti of defects within 48 hours of receipt of the product/service.
b) If My Chitti provides defective or deficient services due to a system error, technical issue, or human error beyond its control, such events will not be considered a material breach of contract. The Vendor must notify My Chitti, who will investigate the issue and, based on the findings, may extend services for an equivalent number of days at no additional cost or provide alternative solutions. This shall be the sole remedy available to the Vendor.
c) Complaints or concerns about the content, comments, or breach of these terms can be directed to grievanceofficer@mychitti.net. My Chitti’s customer service team will acknowledge and address complaints on a best-effort basis in line with applicable Terms of Service.
TERMINATION:
a) This contract begins upon the Vendor's registration or use of the services and continues until terminated by either party (the "Term"). The Vendor may terminate the services by providing a written notice at least 3 (three) months before the automatic renewal of the service, via email or registered post, expressing their intent to discontinue.
b) My Chitti reserves the right to terminate the service at any time, with or without cause. If the Vendor breaches any material duty to My Chitti, My Chitti may request the Vendor to rectify the breach within 7 (seven) days of notice. Failure to do so may result in termination of the relationship.
c) Upon termination, My Chitti is not obligated to delist the Vendor but reserves the right to do so without prior notice.
d) In case of technical difficulties, My Chitti reserves the right to terminate services with written or oral notice to the Vendor.
e) If the Vendor terminates the service, any balance deposit paid to My Chitti will be retained (after deducting charges for services provided). Under no circumstances will the Vendor be entitled to a refund for amounts already paid. If My Chitti terminates the service for reasons attributable solely to My Chitti, a proportionate refund or alternate services may be offered.
f) My Chitti may terminate services if the Vendor engages in fraud, illegal or unethical activities, or any actions that negatively affect My Chitti's reputation.
g) This contract will terminate automatically if the Vendor becomes bankrupt, liquidates its assets (except for restructuring), ceases business, or is otherwise incapacitated by legal action or changes in applicable law.
NOTICES:
My Chitti will send notices to Vendors via email, WhatsApp, SMS, or registered post. Any refusal to accept such notice will be considered a legal delivery. Vendors may send notices to My Chitti via customer support email or to the company's registered office address.
MODIFICATIONS TO TERMS OF SERVICE:
My Chitti reserves the right to change the Terms of Service at any time without prior notice. Changes will take effect when posted on the website or communicated through other means.
TAXES:
